Purpose
The Partner acknowledges that this registration form is an intent to purchase Aura Controllers (App-Only, A3, A3 Pro, A5, A7, and A7 Pro) from Latigid Engineering Pvt. Ltd.

Intellectual Property Rights
Intellectual Properties means copyrighted/ patented material / products / items hereunder, the name, trade name, brand name, trademarks, logo, service mark or trade name, whether registered or not, used to represent or describe the Products either manufactured by or traded by Latigid Engineering Pvt. Ltd. and the valuable goodwill and reputation attached (hereafter referred to as “ intellectual properties ”.

Confidential Information
“Confidential Information” means any proprietary, confidential, and/or trade secret information of Latigid Engineering Pvt. Ltd. and/or others possessed by Latigid Engineering Pvt. Ltd. relating to, among other things, Latigid Engineering Pvt. Ltd’s products, technology, specifications, manufacturing methods, know-how, business or marketing plans, or business relationships. Confidential Information may be disclosed either in documentary form (including without limitation traditional tangible media such as written documents, schematics, ideas, photographs, and drawings, and intangible media such as diskettes and other magnetic or electronic data through email, instant message services, or other), or orally or visually or in other non-documentary forms (including without limitation presentations, displays or inspections of writings, designs, drawings, photographs, models, prototypes, samples or facilities).

Notwithstanding the foregoing, any information which Partner. should reasonably believe to be Confidential Information of Latigid Engineering Pvt. Ltd. shall be considered Confidential Information if disclosed orally or in writing by either party during discussions concerning the contemplated business relationship or thereafter.

With an exception of some information already available publicly, independently developed by the company on their own shall not be considered as confidential, and same shall not be covered under this contract.

Disclosures and Care
Disclosures & Care: Partner : (i) will not disclose Confidential Information except to its employees or to potential suppliers or subcontractors, and only to persons legally bound to comply with Partner’s obligations under this NDA, in each case only to the extent necessary to achieve the purposes contemplated by this NDA; (ii) will not use Confidential Information except for the purposes contemplated by this NDA; (iii) will use at least the same degree of care to safeguard Confidential Information that it uses to protect its own confidential and proprietary information, and in any event, not less than a {commercially reasonable degree of care} under the circumstances; and (iv) will make copies of Confidential Information only as needed for such purpose, all of which shall include any existing markings indicating that they are Confidential Information of Latigid Engineering Pvt. Ltd., or shall have markings supplied by Buyer.

Either party shall not decompile, disassemble, reverse engineer, or attempt to reconstruct, identify or discover any source code, underlying ideas, techniques of algorithms in Latigid Engineering Pvt. Ltd's Confidential Information and/or Product by any means whatever, except as may be specifically authorized in advance by Latigid Engineering Pvt. Ltd. in writing. Also, receiving party shall ensure smooth entry and access to required information for the audit team to verify the same upon any intimation.
